1. Scope of Services & The Platform

Optonix is an AI-accelerated operational engineering partner operating out of Cape Town, South Africa. We specialize in unifying custom product software engineering, technical CX support squads, and workflow automation under a single delivery model. These Terms govern your interaction with the Site, contact forms, initial discovery sessions, and foundational consulting audits.

Important Note on Master Agreements: While these Terms govern your initial relationship with our platform and diagnostic tools, any long-term commercial engagement—including dedicated CX Squads, ongoing Embedded Engineering Retainers, or custom software builds—will be strictly governed by a separate, bilateral Master Services Agreement (MSA), Statement of Work (SOW), or Service Level Agreement (SLA) executed directly between Optonix and your corporate entity.

2. Permitted Use & Lead Capture

You may use our Site and services solely for lawful, professional purposes to assess our operational capabilities, read our technical thought leadership, or initiate commercial inquiries.

When interacting with our forms or sharing initial diagnostic data, you agree to:

• Provide accurate, current, and truthful business information, project requirements, and contact details.

• Refrain from uploading or transmitting any malicious code, spam, or intellectual property that you do not own or have the explicit right to share.

• Not use our contact channels to harvest data or pitch unsolicited services to our studio.

We reserve the right to terminate access, ignore form submissions, or halt initial discovery processes if we suspect fraudulent, malicious, or non-compliant behavior.

3. Data Integration, Automation & Flow

By submitting your business context, engineering requirements, or contact details through our ecosystem, you explicitly acknowledge that Optonix operates an automated, highly efficient modern tech stack.

Your data does not remain static on the web server; it is automatically piped into our secure third-party operational infrastructure, including our Customer Relationship Management (CRM) platform and Notion workspace for internal project scoping, lead tracking, and technical workflow mapping.

All handling, processing, and retention of this data is subject to our Privacy Policy, which is fully optimized for POPIA (South Africa) and GDPR (UK, Europe, and Australia) compliance frameworks.

4. Intellectual Property Rights

The Site, its layout, its proprietary positioning methodologies, underlying software code, case studies, operational frameworks, and all brand assets (including the Optonix name, logos, and taglines) are the exclusive property of Optonix and are protected by South African and international copyright, trademark, and intellectual property laws.

Studio IP: You may not copy, scrape, modify, reverse-engineer, or redistribute any content or engineering concepts from the Site without our express, prior written consent.

Client IP during Discovery: Any proprietary business data or software repositories you temporarily share with Optonix during an audit or discovery sprint to help us identify operational bottlenecks remains entirely your property.

5. Disclaimer of Warranties

Optonix is an engineering-first studio, but we provide the Site and exploratory informational contents on an "as is" and "as available" basis without warranties of any kind, either express or implied.

While we strive to ensure our infrastructure is secure, we do not guarantee that the Site will be completely free of errors, uninterrupted, or immune to third-party vulnerabilities. Any high-level ROI projections, tech-stack optimization suggestions, or operational efficiency calculations presented on our Site or during initial calls are for illustrative, positioning purposes only and do not constitute guaranteed technical or financial delivery metrics until formally codified in a signed SOW.

6. Limitation of Liability

To the maximum extent permitted by applicable law (including the South African Consumer Protection Act), Optonix, its founders, directors, employees, and engineering partners shall not be held liable for any direct, indirect, incidental, special, or consequential damages arising out of your use of, or inability to use, the Site, its forms, or its integrated cloud tools. This includes, without limitation, loss of business profits, operational downtime, data corruption, or the temporary mismanagement of third-party dependencies.

7. Governing Law & Jurisdiction

These Terms are governed by, interpreted, and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.

Any legal disputes, claims, or proceedings arising out of your use of the Site, initial project scoping, or these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Cape Town, South Africa.

8. Modifications to Terms

We reserve the right to update, modify, or replace any part of these Terms at any time to reflect changing operational workflows, new technology integrations, or evolving local and international legal compliances. Any changes will be effective immediately upon posting to the Site with an updated "Last Updated" date. Your continued interaction with our platform following these updates constitutes an unconditional acceptance of the revised Terms.
